Terms of Service

Effective date: July 15, 2026

1. Acceptance

These Terms of Service (the "Terms") are a binding agreement between you and BarterSocial, doing business as BarterSocial, Dallas, Texas, USA ("BarterSocial," "we," "us"). By downloading, accessing, or using the BarterSocial app (the "App"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the App.

2. Eligibility (21+)

You must be at least 21 years old to use the App, and you represent that you are. Alcohol may lawfully be purchased and consumed only by persons 21 or older under Texas law; the App does not sell alcohol, and any alcohol service happens at the licensed venue, which is solely responsible for checking identification. Our age gate supplements, and does not replace, that check.

3. What BarterSocial is (and is not)

• BarterSocial is an information and discovery service. It displays bar promotions, specials, and events set by third-party venues in Dallas.
• BarterSocial does not sell, serve, deliver, or furnish alcohol, and is not a licensee under the Texas Alcoholic Beverage Code. BarterSocial is a third-party advertiser of venue promotions.
• BarterSocial is not affiliated with, and does not endorse, the venues it lists unless expressly stated, and BarterSocial is not affiliated with, endorsed by, or approved by the Texas Alcoholic Beverage Commission (TABC). Venues, their offers, pricing, hours, and conduct are outside our control and may change or end at any time.
• Offers are advertised information, not coupons or guarantees. An offer is available at the venue on the venue's terms; you do not "redeem" anything through the App, and the App takes no payment.
• Offers displayed in the App are screened against Texas alcohol-advertising rules before they appear.
• The App does not use location services. You choose a neighborhood manually; the App does not collect, store, or track your location.
• The App has no user-generated content. It does not host reviews, ratings, photos, comments, or other user submissions.

4. Your account

• You may create an account with Sign in with Apple or Sign in with Google, or browse as a guest without an account. Guests can browse offers but cannot save them; saving requires signing in.
• You are responsible for activity under your account. Keep your sign-in secure.
• You may delete your account and associated data at any time in the App under the You tab by tapping Delete Account. Deletion is immediate and also revokes your Sign in with Apple authorization. (Also see the Privacy Policy.)

5. Acceptable use

You agree not to: use the App if under 21; use it for any unlawful purpose; scrape, harvest, reverse-engineer, decompile, or attempt to derive source code (except as applicable law or open-source licenses permit); interfere with or disrupt the App or its security; misrepresent your identity; or use the App to promote excessive or unlawful alcohol consumption.

6. Offers and honest marketing

• Offers shown reflect what venues provide to us; we do not set or guarantee any price, and specials may change, sell out, or expire.
• The App does not display consumer reviews, ratings, or numeric scores. Any tag or badge the App displays is our own first-party, informational signal and does not represent aggregated user sentiment. Do not rely on any signal as a guarantee of quality, price, or availability.
• We do not fabricate reviews, ratings, scarcity, urgency, or social proof. If a listing is ever paid placement, it will be labeled as such.

7. Responsible drinking

You are solely responsible for complying with all laws relating to alcohol consumption. Drink responsibly and never drink and drive; always arrange safe transportation in advance. If you or someone else needs help, contact local emergency services. BarterSocial does not sell, serve, or furnish alcohol and is not responsible for your consumption or for any venue's service of alcohol.

8. Intellectual property

The App, its design, the BarterSocial name and logo, and its content (other than venue-supplied information) are owned by BarterSocial or its licensors and protected by law. Venue names and trademarks are used only to identify the venues; BarterSocial claims no rights in them. We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the App on Apple-branded devices you own or control, subject to these Terms and Apple's Usage Rules. All rights not expressly granted are reserved.

9. Third-party services and links

The App relies on third-party services (Apple, Google, Supabase) and may reference third-party venues and websites. Your use of those services is subject to their terms, and we are not responsible for third-party content, offers, or conduct.

10. Disclaimers

THE APP AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy, availability, pricing, or legality of any venue offer. We do not warrant that offers shown are current, available, or error-free. To the maximum extent permitted by law, we disclaim all such warranties.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BARTERSOCIAL AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM YOUR USE OF THE APP, YOUR ATTENDANCE AT ANY VENUE, OR YOUR CONSUMPTION OF ALCOHOL. BarterSocial is not a provider or seller of alcoholic beverages and assumes no liability for the service of alcohol, which is the sole responsibility of the licensed venue. Our total aggregate liability for any claim will not exceed fifty U.S. dollars ($50.00), except where the law does not permit such a limit (for example, certain personal-injury claims).

12. Indemnification

You agree to indemnify and hold BarterSocial harmless from claims arising out of your misuse of the App, your violation of these Terms, or your violation of any law or third-party right.

13. Governing law & disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Unless prohibited by law, disputes will be resolved in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of those courts. You may instead choose to resolve a dispute through binding arbitration by mutual agreement.

14. Changes; termination

We may modify these Terms; material changes will be notified in-app and take effect on the updated "Effective date." We may suspend or terminate access for violation of these Terms. You may stop using the App and delete your account at any time.

15. Apple-required terms (Licensed Application End-User License Agreement)

Because the App is distributed through the Apple App Store, the following terms apply and, in case of conflict with the rest of these Terms as to Apple, control:

1. Parties. These Terms are concluded between you and BarterSocial only, not with Apple. BarterSocial, not Apple, is solely responsible for the App and its content.
2. Scope of license. The license granted is a non-transferable license to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services / App Store Terms of Service.
3. Maintenance and support. BarterSocial is solely responsible for providing any maintenance and support for the App. Apple has no obligation to furnish any maintenance or support.
4. Warranty. BarterSocial is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) of the App to you; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
5. Product claims. BarterSocial, not Apple, is responsible for addressing any claims by you or a third party relating to the App or your possession and/or use of it, including product-liability claims, claims that the App fails to conform to any legal or regulatory requirement, and consumer-protection or similar claims.
6. Intellectual property. In the event of a third-party claim that the App or your use of it infringes that third party's intellectual property rights, BarterSocial, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
7. Legal compliance. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
8. Developer name and contact. BarterSocial, Dallas, Texas, USA (entity formation in progress). Direct any questions, complaints, or claims regarding the App to support@bartersocial.app.
9. Third-party terms. You must comply with applicable third-party terms of agreement when using the App (for example, your wireless data-plan terms).
10. Third-party beneficiary. You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and that upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

16. Export compliance

You may not use or export the App except as authorized by U.S. law and the laws of the jurisdiction in which it was obtained. The App may not be used for prohibited end-uses (for example, development of weapons).
